Terms of Service
These Terms of Service (the "Terms") govern the done-for-you outbound lead generation services provided by Lumos Holdings, LLC ("Lumos", "we", "us") to you and the organization you represent ("Client", "you"). By purchasing a plan, completing onboarding, or otherwise engaging our services, you agree to these Terms and to our Refund & Cancellation Policy and Privacy Policy, which are incorporated by reference. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
Services
Lumos provides managed LinkedIn and cold email outbound, including qualified lead sourcing, messaging strategy and copy, campaign setup and management, reply classification and routing, and related infrastructure. The specific plan, deliverables, and monthly fee are those shown at checkout or in a written scope of work. Lumos performs the services as an independent contractor, not as your employee, partner, or agent, and is responsible for its own taxes, insurance, and personnel.
Fees, billing, and renewals
Fees are billed monthly in advance at the amount shown at checkout and recur automatically until cancelled. Service begins, and fees are earned, when you submit your onboarding questionnaire (the "Service Start Date"). All fees are non-refundable and you may stop future renewals with at least ten (10) days' written notice before the end of your current term, as detailed in our Refund & Cancellation Policy. Add-ons such as additional LinkedIn profiles, appointment setting, or cold email are billed at their listed rates.
Client responsibilities and acceptable use
You agree to provide timely access, approvals, and accurate information needed to run your campaigns, and to review and approve messaging before it is sent. You are responsible for the legality of your offer and your use of the outreach, and you will not use the services to send unlawful, deceptive, harassing, or infringing content, or to contact recipients you are prohibited from contacting. You will comply with all applicable laws and the terms of any platform used on your behalf, including LinkedIn's User Agreement and anti-spam laws such as CAN-SPAM and, where applicable, GDPR.
Confidentiality
Each party may receive confidential or proprietary information of the other. Each party agrees to protect the other's confidential information with reasonable care, to use it only to perform or receive the services, and not to disclose it to third parties without prior written consent, except as required by law. This obligation survives termination.
Data ownership and handling
All lead and contact data generated or processed for you under these Terms remains your property. Lumos uses that data solely to perform the services and does not sell it or disclose it to unrelated third parties. On termination, Lumos will delete your data within thirty (30) days of a written request, subject to routine backups and legal retention requirements. You are responsible for your own compliance with applicable privacy laws governing the data you provide and the recipients you target.
Third-party platforms and tools
Delivery of the services relies on third-party platforms, software licenses, and outreach infrastructure procured on your behalf. Those platforms have their own terms, availability, and rate limits outside our control, and Lumos is not liable for their acts, outages, or changes. Some third-party costs are non-recoverable once incurred, as described in the Refund & Cancellation Policy.
Intellectual property
Lumos retains ownership of its methodologies, templates, software, and pre-existing materials. You receive a non-exclusive right to use the specific deliverables prepared for you for your internal business purposes. You own the content and marks you supply and grant Lumos a limited license to use them to perform the services.
Warranties and disclaimer
Lumos warrants that the services will be performed in a professional manner consistent with prevailing industry standards. Because outcomes depend on external market forces and the strength of your specific offer, Lumos does not guarantee any particular number of leads, meetings, replies, or sales. Except as expressly stated, the services are provided "as is" and Lumos disclaims all other warranties, whether express or implied.
Limitation of liability
Neither party is liable for indirect, incidental, or consequential damages. Each party's total liability under these Terms will not exceed the fees paid by you in the twelve (12) months preceding the claim. These limits do not apply to breaches of confidentiality, indemnification obligations, or willful misconduct.
Indemnification
Each party ("Indemnifying Party") will indemnify, defend, and hold harmless the other party and its officers, directors, employees, and agents from claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of (a) the Indemnifying Party's negligence or willful misconduct in connection with these Terms, (b) its breach of any representation, warranty, or obligation under these Terms, or (c) its violation of applicable law in performing its obligations.
Changes to these Terms
Lumos may update these Terms from time to time. Material changes take effect on the date posted, and your continued use of the services after that date constitutes acceptance. The version in effect when you purchase or renew governs that term.
Governing law and dispute resolution
These Terms are governed by the laws of the State of Nevada, USA, without regard to its conflict-of-laws rules. Any dispute will be resolved through binding arbitration in Nevada, and the prevailing party is entitled to recover reasonable attorneys' fees.
Entire agreement
These Terms, together with the Refund & Cancellation Policy, the Privacy Policy, and any written scope of work, are the entire agreement between you and Lumos Holdings, LLC regarding the services and supersede prior discussions.
